- You buy a licence to use our software. One licence works on up to three computers you own or control, with no time limit, for the version you bought and all its updates.
- Payments are handled by our reseller Paddle, who is the merchant of record.
- All sales are final. Every plug-in has a free 14-day trial, so please try it before you buy.
1. Who we are
These terms are between you and DOWNSCENE LLC, a limited liability company registered in Kentucky, USA ("DownScene", "we", "us"), 212 N. 2nd St., Ste 100, Richmond, KY 40475, USA, e-mail [email protected]. They cover this website, our plug-ins and their updates, and the licence keys and licence files we issue (together, "the Software"). By buying, installing or using the Software you agree to them.
2. Buying
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles payment, sales tax and VAT, invoices, billing questions and refunds, and Paddle's buyer terms apply to the payment itself. Prices are in US dollars; tax is added at checkout where it applies. Your licence key is e-mailed to you right after payment and is always available on your account page.
3. Your licence
Paid licences. You may install and use the Software on up to three (3) computers that you own or control, for any purpose including commercial work, with no time limit. A licence covers the major version you bought (for example every 1.x release) and all updates to it.
Trials. A trial lets one computer use the full Software for fourteen (14) days, one trial per computer and per e-mail address for each product. When a trial ends, the Software keeps loading in your projects but passes the audio through unchanged.
Free and promotional licences (for example during a launch week) carry the same rights as a paid licence. Not-for-resale and beta licences carry the terms stated when we issue them.
4. Activation
The Software is unlocked with a licence file tied to your computer. Creating it needs an internet connection once, or our offline activation page used from another device. You can move a licence between computers yourself, from the plug-in or your account page, within limits that prevent abuse (currently ten moves per thirty days). While a plug-in window is open, the Software may check its licence and look for updates; if our server cannot be reached, it keeps working. What is sent is described in our privacy notice.
5. What you may not do
- Share, sell, rent, lend or sublicense your licence key or licence files, or use them on more computers than allowed.
- Copy the Software, except for reasonable backups, or distribute it in any form, including inside other products.
- Reverse engineer, decompile, modify or work around the licensing of the Software, except where the law expressly allows it.
6. Updates and support
Updates within your major version are free. A new major version may be a separate product, usually with an upgrade price for existing customers. Support is by e-mail at [email protected], on a reasonable-efforts basis.
7. Sales are final
All sales are final and we do not offer refunds, because every product has a free trial so you can make sure it works for you first. Billing errors, such as a duplicate charge, are corrected. Paddle may issue a refund at its own discretion or where the law requires it; a refunded licence stops working. Details in our refund policy.
8. Ownership
The Software is licensed, not sold. DownScene and its licensors keep all rights in it. Third-party components are listed in the Software and governed by their own licences. VST is a trademark of Steinberg Media Technologies GmbH. Audio Unit is a trademark of Apple Inc.
9. Ending a licence
We may turn off a licence that was refunded, charged back, obtained by fraud or shared beyond these terms; it stops working the next time the Software checks in. These terms end automatically if you break them, and you must then stop using the Software.
10. No warranty
The Software is provided "as is". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that it is free of errors or works with every host application or system. Decisions about your audio, and their results, are yours.
11. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or projects. Our total liability for any claim about the Software is limited to what you paid for it (or USD 10 for a free licence).
12. Your rights as a consumer
Nothing in these terms limits rights you have as a consumer under the law of your country that cannot be waived by contract.
13. Law
These terms are governed by the laws of the Commonwealth of Kentucky, USA, without regard to conflict-of-law rules, and the courts located in Kentucky have jurisdiction, except that consumers may also rely on the mandatory law and courts of their country of residence. You agree to follow applicable export and sanctions laws.
14. Changes
We may update these terms, for example for new products or versions. The version on this page on the day of your purchase applies to that purchase.
